Introducing the Realbricks Secondary Market

Realbricks is introducing a new way for eligible investors to buy and sell shares of participating offerings through the Realbricks marketplace.

The Secondary Market is a peer-to-peer marketplace where investors can place orders to buy or sell shares of Realbricks offerings with other Realbricks users. It operates separately from the Primary Market, where investors purchase shares directly through an initial offering.

How the Secondary Market Works

Through the Realbricks app or website, eligible investors can review available listings and place buy or sell orders for shares of participating offerings.

Secondary Market transactions use limit orders, meaning investors select the price per share they are willing to pay or accept. Investors may also choose whether to allow partial fills, which permit an order to be completed through multiple transactions when the full quantity cannot be matched at once.

There is no minimum order amount: Eligible investors can place a buy or sell order for any quantity of shares ranging from just one share to the equivalent of $10,000 in shares, the transaction limit on the Realbricks marketplace. Orders must contain a positive share quantity; entering a negative amount will generate an error message.

A transaction can occur only when corresponding buy and sell orders satisfy the applicable price, quantity, and other marketplace conditions. Each order applies to shares of a single offering.

Getting started on the Secondary Market
1. Complete the application Complete the one-time Secondary Market application. Sign into your account and open the Realbricks Secondary Market. Confirm a short attestation, complete the identity verification process (as applicable), and sign the Secondary Market Listing Agreement.
2. Sell shares Select an eligible offering from your Realbricks portfolio, enter the number of shares you want to sell and your limit price, and choose whether to allow partial fills. Review the applicable fees and order details, then submit your sell order to the Secondary Market for potential matching with a buyer.
3. Purchase shares Select an eligible offering on the Realbricks Secondary Market, then enter the number of shares you want to purchase and your limit price. Review the applicable fees and order details before submitting your buy order for potential matching with a seller. Because Secondary Market transactions occur wallet to wallet, sufficient funds must be added to your Realbricks wallet before the purchase can be completed. Check out the Realbricks Knowledge Base for more information on connecting your bank account and transferring funds to your Realbricks wallet.

Available marketplace information may include:

  • Current buy and sell orders
  • Recent transaction prices
  • Offering-level price history
  • The number of shares included in an order

Each completed Secondary Market transaction is subject to a 1% Broker-Dealer/Alternative Trading System (ATS) Fee and a $2.50 Realbricks Platform Fee. The applicable fees will be displayed for review before you submit the order.

Historical prices and other marketplace information are provided for informational purposes and should not be viewed as guarantees or predictions of future results.

A Phased Introduction

The Secondary Market will launch in phases. Not every Realbricks offering will be eligible when the marketplace first becomes available.

Dalmore will be the first participating offering, and eligible investors with qualifying Dalmore shares will be the first group able to participate. Additional offerings may become available over time, subject to applicable requirements.

Eligibility and Participation

Participation is subject to eligibility requirements, which may include completing identity verification, accepting the Secondary Market Listing Agreement, satisfying an applicable holding period, and maintaining sufficient available funds for purchases. Additional terms, fees, and restrictions may apply.

An offering may become eligible for the Secondary Market no earlier than 60 days after it is fully funded, subject to applicable eligibility requirements and marketplace terms.
Entity investors are not currently eligible to participate in transactions on the Secondary Market.

Important Liquidity Considerations

The Secondary Market may provide eligible investors with an opportunity to offer qualifying shares for sale, but liquidity is not guaranteed. A successful transaction requires a corresponding buyer and seller.

Shares may not sell immediately, at a particular price, or at all. Investors should be prepared to hold their shares for an indefinite period and review the applicable offering documents, marketplace terms, fees, and risk disclosures before participating.
